Terms of Service

Effective Date: December 20th, 2022

Welcome to Wado Tax Services (“we,” “us,” or “our”). By engaging our services, you (“client,” “you,” or “your”) agree to the following Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and Wado Tax Services and incorporate our standard engagement terms.

1. Scope of Services

1.1 We offer the following professional services:

1.2 All services are performed in accordance with applicable Canadian federal and provincial laws.

1.3 Services are based solely on the information you provide. We do not audit, verify, or review the completeness or accuracy of your information.

1.4 While we review and explain your return prior to filing, you are solely responsible for the accuracy and completeness of the submitted information and its results.

1.5 We do not guarantee specific outcomes including tax refunds, reductions, or CRA compliance results unless explicitly agreed upon in writing.

1.6 Our monthly subscription plans include corporate tax return preparation and bookkeeping, assuming all prior periods are current. If your bookkeeping or tax filings are behind, a separate catch-up quote will be provided and must be completed prior to monthly services commencing.

1.7 Tax returns for periods ending within six (6) months prior to joining our services are not included in your monthly plan and will be billed separately.

1.8 Any bookkeeping services are based on information you provide. Financial statements prepared are for internal use only and may not be distributed to third parties without our written consent.

2. Client Responsibilities

2.1 You must provide complete, accurate, and timely documentation required to perform our services.

2.2 You are responsible for confirming that all information submitted is true and complete to the best of your knowledge.

2.3 Communication delays affect service delivery. If we do not receive responses after two reminders (sent every two business days) and five business days pass, your file will be placed on hold and guarantees to meet any deadlines are void. To reinstate the file, a $250 fee will apply.

2.4 All final documentation and information must be submitted at least three (3) weeks before the filing deadline. We are not responsible for late filings or penalties due to late or incomplete submissions.

3. Fees and Payment

3.1 Fees are based on our initial assessment and must be paid in full before work begins. Bookkeeping is excluded unless quoted separately.

3.2 The initial invoice is not final. Additional services such as bookkeeping, amended returns, audit support, or CRA correspondence are billed separately at $125/hour and must be paid prior to final filing.

3.3 Payment terms are net 15 days. Quotes expire after 15 days.

3.4 Interest of 2% per month (compounded) will apply to all late payments.

3.5 Refunds are offered within 30 days of payment and only for work not commenced or completed, at our discretion.

3.6 Subscription fees for QBO or Xero are included while you remain an active client.

3.7 If services are engaged on behalf of a corporation, you personally guarantee payment if the company fails to remit within 7 days.

4. Limitations of Liability

4.1 We are not liable for any penalties, interest, or consequences arising from incorrect or incomplete information you provide, or from late submissions caused by delays in getting required information from the client.

4.2 We are not liable for indirect, incidental, or consequential damages.

4.3 CRA audit assistance beyond basic support is billed separately. We are not responsible for HST issues that exceed the scope of year-end compilation.

5. Termination of Services

5.1 You may terminate the engagement at any time by written notice. Services performed up to the date of termination remain payable. No refunds after 30 days.

5.2 We may terminate this agreement for non-cooperation, lack of communication, provision of false or misleading information, or non-payment. In such cases, a disengagement invoice will be issued at $237/hr for all time spent on the file and any remaining prepaid fees will be refunded promptly.

6. Confidentiality and Privacy

6.1 We maintain strict confidentiality in accordance with PIPEDA. Your information will not be shared without your written consent, unless required by law.

6.2 You confirm that all personal data shared has appropriate legal consent. Our full Privacy Policy is available upon request.

6.3 Working papers and documents prepared during the engagement are our property and will be retained per our internal policies.

7. Dispute Resolution and Governing Law

7.1 Disputes will first be addressed through informal negotiation.

7.2 These Terms are governed by the laws of Ontario, Canada. Any legal disputes shall be resolved in the courts of Ontario.

8. Additional Clauses

8.1 We make no representation to third parties regarding any materials we produce unless expressly agreed in writing.

8.2 We advise all corporations to consult a lawyer to maintain an up-to-date minute book and other corporate records in accordance with the Business Corporations Act.

8.3 These Terms supersede any prior agreements unless amended in writing and signed by both parties. They automatically renew yearly unless terminated in writing.
